De-SPAC

Our bankers have extensive experience in representing companies for whom SPAC business combinations (de-SPAC) are feasible alternatives to a public offering. We have advised numerous private companies from around the world on the de-SPAC process, identified appropriate SPAC counterparties, negotiated the transactions, led the execution and assisted in the closing. We have been utilizing the SPAC vehicle judiciously for over 20 years. Our de-SPAC experience covers SPACs and targets from around the world.

The de-SPAC process is especially fraught, requiring understanding and knowledge regarding sponsors, financing, legacy issues, investor composition, legal and regulatory issues, trading market considerations, as well as the integration and post-business combination operations of the combined company.
